Text: Types of Businesses

Most businesses operate in one of the following ways:

- the sole trader (one man business)

- the partnership

- the private limited company

- the public limited company.

1) The sole trader is the smallest type of business. It is owned and controlled by one man. The sole proprietorship is often found in service industries: retail shops, restaurants, etc.

The one man business has the following advantages:

- the owner sets his working hours, conditions, holidays, salary, hiring and firing, etc.;

- all the profits are taken by the owner;

The one man business has the following disadvantages:

- the sole proprietorship has unlimited liabilities. It means that the owner is responsible for all business debts. If the business fails, the proprietor may have to sell all his assets.

- He may also need the help of a lawyer and a book-keeper.

2) The partnership is a firm where there are a few partners. These are firms of solicitors, auditors, management consultants, etc.

The advantages are the following:

- the business has more capital available for expansion;

- the partners share the responsibility.

However, the partners will have to share the ownership, control, profits.

3) At the end of the name of a private limited company the word Ltd. is used. The private limited company may not offer shares to the public. The main advantage of this form of business is the company’s independent legal status and its limited liability.

4) The public limited company has the letters plc after its name, and examples include Marks and Spencer, Guinness and the National Westminster Bank.

The company may raise capital by issuing shares and offering them to the public. Any member of the public may buy shares in a public limited company and thus become a “part owner” of the business. This form of business is the largest one.
