1. PACKING a. Buyer shall accept the goods and pay _____ for

AGREEMENT

i. the Price of the Goods shall remain unchanged

during the whole duration of this Agreement

10. TERMS OF

PAYMENT

j. The Buyer shall pay the Price of the Goods

indicated in the Contract in rubles on the basis of

invoice of the Supplier in a lump sum by bank

transfer to the bank account of the Supplier

11. PRICE k. the Seller and the Buyer are referred to

hereinafter either individually as a Party or

collectively as the Parties

12. RIGHT OF

INSPECTION

l. The Supplier shall sell and the Buyer shall

purchase the Goods which are supplied by the

Supplier to the Buyer under the terms of this

Contract

13. TITLE RETENTION

CLAUSE

m. Storage of the Goods shall ensure conditions

that exclude damage to the Goods

14. FORCE MAJEURE n. This Contract and its consequences shall be

subject to Russian Law

15. WARRANTY OF

TITLE

o. The Parties shall keep strictly confidential any

information, which is marked “Confidential” and

shall take all of the reasonable measures, which are

necessary to prevent the disclosure of such

information

16. PREAMBLE p. If the event of force majeure still continues for a

3 (three) month period after its occurrence, then the

Party which has not claimed force majeure may

terminate this Agreement, simply by informing the

other Party in writing of its decision to terminate

this Agreement with immediate effect

17. CONSIDERATION q. Title to the Goods shall remain vested in the

Seller and shall not pass to the Buyer until the

purchase price for the Goods has been paid in full

and received by the Seller.
