PRICES AND TOTAL SUM OF CONTRACT

SUBJECT OF CONTRACT

The Seller sells and the Purchaser buys сomputer equipment, components and software (hereinafter referred to as “the goods”) in accordance with the to the present Contract (which is an inseparable part of the Contrac) under the terms CIP-Kyiv, Ukraine.

The prices for the goods are in US $ as indicated in the Specifications. The prices for the goods as indicated in this Contract under the CIP-Kyiv conditions include the packaging for international transportation and shipment, marking, forwarding and loading services.

The prices as per this Contract have been fixed firmly and are not subject to alteration.

The Present Contract enters in force from the day of signature. The Purchaser promises to pay 100 per cent of the value of the value of the Present Contract in US dollars within 90 days after the date of delivery.

The goods under this Contract are delivered according to terms mentioned in Specifications (Enclosure No, 1) no later than 3 months from the date of receiving, the Letter of Credit by Seller at his Bank in Kyiv.

The Seller enjoys the right of early delivery against the dates indicated in the Specifications of this Contract. Partial deliveries are authorizes.

The Seller guarantees:

5.1That the quality of the goods supplied should correspond to the technical specifications appended to this Contract. The effective warranty period is 12 months from the date of delivery to Kyiv.

5.2 The warranty obligations may be cancelled in the following cases:

· if the equipment is demanded by the receiver or the third party;

· incorrect installation of the equipment.

Packing and delivery are to ensure the complete preservation of the goods during transportation and to correspond to standards of the manufacturer’s country of the goods.

Marking has to correspond to standards of the manufacturer’s country of the goods.

All disputes and disagreements which may arise out of the Present Contract or in connection with the same are to be referred to the International Court of Arbitration at the Ukrainian Chamber of Commerce and Industry, Kiev in compliance with the rules and procedure of the Arbitration Code of Ukraine.

Judgement of the International Court of Arbitration is final and obligatory for implementation of the both parties.

The goods are considered to be transferred by the Seller and accepted by the Buyer, the quality being in accordance with the technical specifications and the quantity in accordance with the number of packages indicated in the transfer waybill.
